Help Uploading Theme

I download the theme I want then “unzip” it. The file saves to C:\documents and settings, etc. When I go to my web hosting yahoo control panel and try to upload the file to my wp- file not valid or soemthing like that. I don’t know anything about all this blog and theme stuff. Can someone please walk me through it step by step?
