 * Are you installing this locally or on a server?

 * uploading the files with ftp.
 * i see the compat.php file there.
 * also, out of curiosity, i downlaoded 2.3.3 and there are no wp folders (content,
   includes, admin). so i should point the install straight to install.php, right?

 * your not unpacking things properly if thats the case, and that speaks to your
   problem.
