Please post error if any. After you uploaded the new files, update the database config in wp-config.php => the upgrade script is in
http://your-blog-url/wp-admin/upgrade.php
when i try to go to the suggested link i get a 404 not found response
Check:
1. See if permission for wp-admin is set to 755, if not, set to 755
2. See if you see upgrade.php in wp-admin

i upgraded perm to 0755 and upgrade.php is in wp-admin. I seem to have a strange stucture. Under public-html is wordpress and then under that is wp-admin and that is where the upgrade.php is. Should all this be in Public-html. I did have to move all the files from the wordpress file to the public-html file.
Where are your WordPress files normally?
You can set up WordPress in a subfolder instead of the root folder. Or, you can also put the files in a subfolder and then copy the index.php file to the root folder so your blog appears to be running in the root folder like this:

Are you using either of these?
finally i have it installed and up and running but what a lot of screwing around maybe me maybe the programme or the instucions, I had a lot of error calls and that turned out to be files in the wrong place and the wrong (old) path. Moved files left path =ok. error establishing contact with DB. silly little things in the script mainly from the secret phrase stuff. ie too many ( ‘) single quotes from phrased generated by the wordpress phrase generator and probably copied an extra single quote and also left one on the line when i deleted the instruction.
So now how do i restore my old files to the new version. I have the backed up files on my desktop in .gz
