PS for anyone in a similar situation. the DB tables are not the same in 1.2 and 2.0.3
Waht I did was copy the 1.2 WP tables with a different prefix, ran the 1.5 and 2.0.3 upgrades on those copied tables, modified the theme and then renamed the new /blog2 directory to /blog and vice versa so there was no down time

If what you say is true than that would be fantastic!!
I thought the database schema/tables/fields would have changed since so much time has passed between the release of WP 1.2 and WP 2.0.X
