Спасибо за направление в поиске, решил путем ставки в код параметров &wmode=transparent и wmode=”opaque”.
Код теперь выглядит так:
<iframe width=”920″ height=”545″ src=”http://www.youtube.com/embed/Lr4HO_wi_FQ?rel=0&wmode=transparent” frameborder=”0″ allowfullscreen wmode=”opaque”></iframe>
P.S. решение нашел вот тут

на стороне флеша не пойму как, ведь я просто вставил iframe код ютуба

пробовал в код прописывать параметр wmode=”opaque” – не работает ((
